Josh has over two decades of experience guiding companies such as insurers and other financial services providers through the management of corporate governance matters, the complexities of regulatory compliance, and corporate transactions.

Josh relies on a career built on business and transactional experience to provide clients with practical, purposeful legal counsel that touches on all facets of their operations. He routinely serves clients as their primary outside counsel and leads large, multidisciplinary teams in a broad range of corporate and transactional projects to achieve client objectives. Among other things, clients have described him a trusted adviser, methodical thinker, and problem solver.

Josh brings a unique perspective to private practice, having served as both the U.S. general counsel for a top North American insurance and financial services organization, as well as holding multiple operations and marketing leadership roles at financial services industry providers. He uses this extensive background to counsel corporate clients across an array of legal, compliance, operations, and marketing challenges, including matters such as insurance regulatory issues, reinsurance and risk management, distributor contracting and oversight, and general executive management support.

Josh also enjoys guiding clients in the transactional setting at all stages of M&A. He has provided advice in connection with well over $1 billion in transactions and with his multi-faceted legal and operational experience, is capable of leading teams that can assess post-transaction challenges and develop effective and efficient integration plans.

Experience
  • Directed legal and regulatory aspects of $720M acquisition of one of the largest independent providers in the U.S. vehicle warranty market, an acquisition several times larger than any other in the client's history.
  • Led legal, due diligence, and regulatory matters involving $134.5M stock purchase of a group of vehicle warranty providers, including an Ohio-domiciled property and casualty insurer.
  • Other M&A exposure includes experience in the banking and gaming industries, such as purchase by $20 billion publicly traded banking client of another publicly traded bank, and asset purchase of casino properties by publicly traded casino operator.
  • Significant corporate secretarial and governance experience, working closely with corporate boards and C-suite regarding both material legal and compliance matters as well as significant business issues.
  • Broad experience as in-house and general counsel provide a unique perspective, offering valuable insight from a general counsel's viewpoint in terms of client service and expectations.
  • Represented PCB Financial in its recently announced acquisition of Northern California Bancorp where NCB and its wholly owned subsidiary Monterey County Bank are now wholly owned subsidiaries of PCB.
