Kevin’s practice involves guiding clients through complex tax issues.
Kevin advises clients on a broad range of transactional tax matters, including business entity formation, mergers, acquisitions, and reorganizations. Focusing on the healthcare industry, he has extensive experience structuring transactions for hospital systems, management services organizations (MSOs), physician practices, governmental entities, and other healthcare organizations. He regularly designs tax structures to achieve clients’ business objectives while minimizing tax exposure and preserving tax efficiency.
A significant portion of Kevin’s practice involves advising pass-through entities. He counsels clients on the formation, operation, and restructuring of partnerships and S corporations and regularly addresses complex Subchapter K and Subchapter S issues. His experience includes partnership allocations, Section 704(b) and 704(c) matters, Section 751 matters, liability allocations, capital account maintenance, partnership mergers and divisions, and transfers of partnership interests, as well as S corporation eligibility, QSub structures, built-in gains tax issues, and S corporation shareholder transactions. Kevin is experienced in drafting complex tax provisions in operating agreements, purchase agreements, joint venture agreements, and other transaction documents.
Kevin also advises founders, investors, and companies on Qualified Small Business Stock (QSBS) planning. His work includes structuring entities, investments, and transactions to maximize the benefits available under Section 1202 while preserving QSBS eligibility throughout a company’s lifecycle.
In addition to representing for-profit taxpayers, Kevin counsels tax-exempt organizations on a wide range of nonprofit tax matters. He assists clients with obtaining and maintaining federal tax-exempt status, structuring and operating supporting organizations, and addressing unrelated business taxable income (UBTI) issues. He also advises on mergers, acquisitions, joint ventures, and other strategic transactions involving tax-exempt organizations.
