Jordan’s practice focuses on the formation, structuring, marketing, and operation of private investment funds and their general partner and management companies.
Jordan advises funds throughout every phase of fundraising and formation, including preparing offering materials, negotiating fund formation matters with investors, and drafting partnership, limited liability company, and other governance agreements. He also counsels fund managers on all aspects of day-to-day operations, including co-investments, alternative investment vehicles, restructurings, and fund-related aspects of M&A transactions. Jordan represents a wide range of institutional investors in connection with the deployment of capital across most major asset classes. Jordan also advises closely held companies in complex business transactions and all facets of business law.
Jordan has prior experience advising U.S., non-U.S., and multinational clients on the U.S. federal income tax issues related to corporate restructurings, joint ventures, private equity fund formations and investments, real estate transactions, including REIT structures, cross-border investments, and other complex matters. Jason also has a strong tax background and previously focused his practice on advising private investors, family offices, closely held investment funds, and family-owned operating businesses. He advised them on key aspects of family office structuring, capital raising and deployment across major asset classes like private equity and venture capital, employee incentive and co-investment programs, and strategies for business succession, philanthropy, and legacy planning.
