Our law firm's long history working with power generation developers, investors, and financing parties, as well as with electric utilities, provides our solar energy lawyers with an understanding of the issues and challenges facing the industry and a business perspective that gives our clients an advantage. With experience encompassing utility-scale and distributed solar projects and markets, our Solar Energy law team has a nationwide reputation for innovative ideas for structuring, financing, and developing solar projects and solar businesses throughout the country. Our work has helped bring together new and existing industry participants and has helped existing power generation participants broaden their involvement to include additional segments of the solar development, ownership, and operating life-cycle.

We also work extensively with energy storage projects across the country and in Guam, Canada, and Mexico. Our professionals have assisted in the development, construction, and sale of demand-response and frequency regulation lithium-ion battery storage projects for large utilities.

Representative Experience

  • Advised a California utility on the structuring and other aspects of a multi-stage transaction for the third-party development and construction of a 20-megawatt solar facility, and the subsequent indirect acquisition and tax equity financing of the project by the regulated utility.
  • Represented Algonquin Power Co. in the acquisition, development, and tax equity financing of an approximately $58 million 20-megawatt solar energy facility in California.
  • Represented a project sponsor in the sale of all energy and associated environmental attributes from two solar energy facilities, sized 100 MW and 50 MW, in Texas.
  • Provided real estate, tax abatement, regulatory, PPA negotiation and representation before municipal agencies in the development of a 30 MW solar facility near Austin, Texas.
  • Represented NV Energy Inc. in its partnership with Apple Inc. to construct a first-of-its-kind 20-megawatt, 137-acre photovoltaic solar plant that will generate approximately 43.5 million kilowatt hours of clean energy to offset the electricity load for Apple’s 90,000-square-foot data center. Husch Blackwell represented NV Energy throughout the project, from structuring the transaction to lease, development, and renewable energy agreements.
  • Advised a leading global renewable energy developer on Colorado regulatory aspects of their acquisition of four commercial-scale solar facilities (both ground mounted and rooftop) with various municipal, quasi-municipal, and state funded landowners and off-takers.
  • Lead real estate counsel in connection with negotiation of a utility scale solar lease with the Texas General Land Office.
  • Advised owner of a 20-megawatt photovoltaic power generation facility in California in various development matters for the project.
  • Represented a developer/owner in connection with the brownfield development of a 15-20-megawatt solar facility in the State of Missouri, including late-stage PPA discussions.
  • Represented U.S. Bank in connection with multiple tax equity investments in aggregated portfolios of commercial scale solar energy facilities.
  • Counseled Emerson Electric in the drafting and negotiating of a supply contract with an EPC contractor for the supply and installation of inverters as part of solar photovoltaic power facility.
  • Serve as counsel to a developer of large-scale commercial solar energy projects throughout the United States. Our client is the North American solar energy division of a global developer of solar, wind, and other renewable energy facilities.
  • Assist Western solar firms with their federal regulatory work and on policy initiatives related to the expansion of the transmission system to serve future needs.
  • Represented client in connection with their response to a utility-scale solar energy request-for-proposal of a public utility in the Southeast.
  • Represented European infrastructure fund as developer’s counsel for the purchase, development, hedge equity investment, and tax equity financing of 848 GW of wind and solar projects in Texas.
  • Represented developer in the development, construction lender financing, tax equity financing, and hedge financing of 872 MW of solar projects in Texas, with projects totaling more than $1.1 billion.
  • Represented solar energy company in the acquisition of a 180 MW solar project in Texas.
  • Represented developer of 440 MW of solar projects. Provided development, real estate, environmental, electric regulatory, and state tax expertise on all matters.
  • Represented leading solar and energy storage project development company as project counsel in the sale, construction, and tax equity financing of 200 MW solar project in Texas.
  • Represented Orsted Onshore North America, Inc. as real estate and development counsel for multiple development-stage solar matters in Texas, Kansas, and Nebraska. Counseled client regarding the preparation and negotiation of financeable lease terms, title and survey review, local counsel due-diligence, and tax equity investment considerations.
